1. Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "the Merchant"), and Fyntri Ltd (Company Number: 16473371) ("we", "us", or "our"), concerning your access to and use of the Theo Analytics Shopify Application (the "App"). By installing and using the App, you agree that you have read, understood, and agree to be bound by all of these Terms of Service.
2. The Service, Data Processing & Storage
Theo Analytics provides automated reporting and analytics services by connecting to your Shopify store via the official Shopify API. We process this data dynamically to generate insights and deliver reports directly to your designated email addresses.
Zero Sales Data Retention Policy: We explicitly do not store your historical sales data, customer Personally Identifiable Information (PII), or order history on our databases. All sales metrics are processed in-memory solely for the purpose of generating your requested reports and are immediately discarded.
Data we DO store: To provide this service, the only data we persistently store is a functional record of your connected store, your store name, the store owner's basic profile details (as provided by Shopify), and the specific email addresses you manually input to receive the automated reports.
3. Shopify Billing, Free Plan & Subscriptions
All billing, invoicing, and tier upgrades for the App are handled entirely within the Shopify Admin via the official Shopify Billing API. See Shopify's Terms of Service and Privacy Policy.
- Free Plan Access: We provide a baseline tier permanently at no charge ($0 base access).
- Premium Upgrades: Unlocking full omnichannel attribution maps requires an active monthly subscription on your Shopify invoice.
- Downgrades & Refunds: You can instantly downgrade to the Free Plan at any time. We cannot issue direct partial credits for active billing cycles.
4. Recipient Management & Sender Reputation
You are solely responsible for managing who receives these emails. Only add valid, authorised addresses. Repeated hard bounces may result in suspension to protect deliverability for other merchants.
5. Merchant Control & Acceptable Use
You may pause reports, downgrade, or uninstall via Shopify Admin. You must not reverse engineer, decompile, hack, or exploit the App.
6. App Availability, Maintenance & Downtime
Theo Analytics is provided on an AS-IS and AS-AVAILABLE basis. We are not liable for missed reports during maintenance or third-party outages (Shopify API, email providers).
7. Financial Disclaimer & Data Accuracy
Reports are for informational purposes only. Fyntri Ltd does not provide financial, legal, or tax advice.
8. Limitation of Liability
To the maximum extent permitted by law, Fyntri Ltd shall not be liable for indirect, incidental, special, consequential, or punitive damages. Aggregate liability shall not exceed the total amount paid for the App during the twelve months preceding the claim.
9. Indemnification
You agree to defend and indemnify Fyntri Ltd from claims arising from your use of the App or a breach of these Terms.
10. Governing Law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
